A legal battle began Monday stemming from a dispute between Jeff Shell, president of Paramount Skydance, and Robert James “R.J.” Cipriani, a Las Vegas gambler who claims to be able to resolve problems for others.
Cipriani is suing Shell, claiming fraud and other offenses. He alleges Shell broke a verbal promise to help create an English-language version of a Spanish music show available on Roku TV.
He is seeking $150 million in damages.

Secret negotiations with a prominent gambler in Las Vegas may put Jeff Shell’s position at Paramount Skydance at risk, especially as the company explores a merger with Warner Bros. Discovery.
According to a 67-page lawsuit filed in Los Angeles, Cipriani alleges that Shell promised to develop a television show called “Star Serenade” in return for 18 months of free, specialized crisis communications services he provided. Cipriani and his wife were slated to be co-executive producers on the show, but Shell never followed through with the project.
According to the legal complaint, this case centers around a classic case of fraud: someone in a position of power took advantage of another person, promised to pay them back, denied the debt when asked, and ultimately refused to provide any compensation.
Representatives of Shell did not immediately comment.
Marco Cipriani, known for his work on the 2020 documentary Money Machine: Behind the Lies and the 2015 film Wild Card, created “Serenata” as a tribute to his mother, Regina. According to court documents, this project was the central focus of his life for nearly sixty-five years.
The show’s idea came from a song Cipriani, who grew up in Philadelphia, used to sing to his mother before she passed away.

Cipriani had been threatening to sue Shell for weeks, which could have jeopardized his return to Paramount. This came three years after he was fired from NBCUniversal due to an improper relationship with a subordinate.

Jeff Shell, the CEO of NBCUniversal and a longtime Comcast executive with 19 years of service, was fired last weekend following an investigation into a claim of sexual harassment made by a CNBC anchor.
Cipriani’s suit alleges Shell was desperate for help in quelling negative stories about him.
The article also depicts him as someone who wasn’t careful with confidential details, reportedly revealing sensitive information while the Ellison family, through Skydance Media, was working to buy Paramount and then trying to expand their media company by acquiring Warner Bros. Discovery.
The disagreement between these two men started in August 2024. Patty Glaser, a well-known lawyer specializing in entertainment cases, brought them together for a meeting.
In a meeting with Shell, the executive told Cipriani he worried that emails and texts with CNBC anchor Hadley Gamble – with whom Shell had a relationship – might be revealed, stating it would be “absolutely devastating” for him, the lawsuit claims.
In his lawsuit, Cipriani alleges that Shell was at risk of facing severe public backlash due to Cipriani’s own past behavior with women in the media – a situation similar to the one that led to his departure from NBCUniversal. He claims he offered Shell his services to manage this potential crisis.
The lawsuit claims Cipriani was uniquely able to assist, as he had a history of revealing wrongdoing within the entertainment and media worlds.
Cipriani is a well-known blackjack player with a fascinating background. He’s notably helped the FBI bring down Owen Hanson, a former USC athlete who became a major international drug trafficker and received a 21-year prison sentence. Cipriani also filed a Racketeer Influenced and Corrupt Organizations (RICO) lawsuit against Resorts World Las Vegas.
According to his lawsuit, Cipriani used his connections in the media and his standing within the industry to provide Shell with services that tracked potential threats and gathered intelligence. He also claims he actively worked to prevent or lessen negative news stories about Shell before they were published.
According to a lawsuit, Shell was very grateful to Cipriani after he helped shift media focus away from the company by planting a story about someone else in the entertainment industry. Shell reportedly texted Cipriani multiple times saying “Thank you,” and a copy of the text message is included in the legal documents.
Last summer, during negotiations about where to stream the popular show “South Park,” Shell reportedly contacted Cipriani. According to a lawsuit, Cipriani then arranged for a positive news story to be published that significantly harmed Shell and Paramount’s opponents in the negotiations.
Following a story appearing in a Hollywood industry publication, Cipriani messaged Shell via WhatsApp, claiming he was the source of the article. He added that he waited to reveal this until after the story was published, so Shell could convincingly deny any involvement.
In a message included in the lawsuit, Shell wrote, “I love you!!!! …Thank you Rj,” and added, “I owe you dinner at least!”
Even though Skydance initially aimed for a lower price, Paramount ended up paying the creators of “South Park” millions of dollars extra. To clear the way for Skydance to acquire Paramount, the company made two major agreements, including a deal worth over $1.25 billion to keep the cartoon running – one of the largest television deals ever made.

Following weeks of discussions and the possibility of legal action, ‘South Park’ creators Trey Parker and Matt Stone reached agreements to bring their famously irreverent cartoon to Paramount+.
According to the lawsuit, Cipriani claims that Shell informed him about a $7.7 billion deal Paramount was planning to acquire the rights to UFC fights, even though Netflix thought they already had an agreement in principle for the same rights.
In a lawsuit, Cipriani revealed he reported concerns to the Securities and Exchange Commission, alleging Shell kept key details of a deal secret. He claims Shell specifically told him that even UFC President Dana White wasn’t aware of the transaction. A WhatsApp message mentioned in the lawsuit showed Shell emphasizing the need for secrecy, stating the deal was “very hush, hush until we sign.”
Although the man kept working for Shell without pay, their working relationship started to deteriorate.
Cipriani was furious that Shell didn’t follow through on their supposed agreement to support his television show, feeling it was a personal insult to both him and his mother.
So, back in February, these two guys finally sat down to try and sort out their issues. Apparently, there was also a lawyer there – someone who’d worked with both of them on different projects in the past. It’s all coming out in this lawsuit, which is pretty interesting to follow as a film buff, since both of these guys are big names.
Patty Glaser has been widely reported as having represented Shell and Cipriani.
Glaser stated last week that the initial complaint they received contained significant factual and legal mistakes. They plan to issue a strong response.
The February meeting did not go well.
Shell didn’t just deny Cipriani financial support; they also made it clear they wouldn’t help him find work, like a TV show or other opportunities in the entertainment industry.
In his lawsuit, Cipriani claims that during a meeting, Shell expressed his negative feelings toward Warner Bros. Discovery CEO David Zaslav and revealed Paramount’s plan to increase its takeover bid for the studio. This was reportedly done to try and prevent Netflix from making a competing offer, and happened before Paramount publicly announced its intentions.
Following the meeting, Cipriani claimed in his legal complaint that Shell’s lawyer offered him a $150,000 loan privately as a way to settle the disagreement.
